TAXES:

The buyer is responsible for submitting all necessary sales and use tax returns related to the property transfer. Additionally, the buyer must cover all applicable sales and use taxes and other costs linked to the property transfer. The seller will handle personal property taxes linked to property ownership up to the Effective Date, and the buyer will manage any personal property taxes accruing after that date.

DELIVERY:

The Buyer will have the right to take possession of the Property on .

If delivery occurs after the Effective Date, it is the Seller's responsibility to ensure that the Property is delivered in the same condition as inspected by the Buyer previously.

REPRESENTATIONS BY THE SELLER:

The seller assures that they have clear ownership of the Property and the authority to sell it. They confirm that the Property is being sold without any existing liens, debts, or other obligations. The buyer can request a Bill of Sale for the Property from the seller. The seller does not provide any other assurances or guarantees about the Property. It is being sold 'as is,' without any warranty of suitability or quality. The seller explicitly disclaims any representations or warranties regarding the value, condition, or functionality of the Property for specific purposes. The buyer agrees that they cannot hold the seller accountable for any issues related to the Property.

GOVERNING LAW:

This Agreement shall be governed under the laws in the State of North Carolina.

MISCELLANEOUS:

This Agreement binds the Parties and their respective heirs, successors, and assigns. Each provision of this Agreement is independent. If any provision is deemed invalid or unenforceable, it does not affect the validity or enforceability of the remaining provisions. Section headings are solely for reference and do not alter the meaning or interpretation of this Agreement. This Agreement represents the entire agreement between the Parties, superseding all prior oral or written agreements regarding the subject matter. It may be executed in multiple counterparts, each considered an original forming a single document.
